1. Legal Identity

This website and the services offered through it are operated by Tutari GmbH, a company registered in Switzerland (referred to as "we," "our," or "the Company" throughout these Terms). We operate under the brand name Strateda, which refers to the web-based platform accessible via strateda.com.

2. Acceptance of Terms

By accessing or using our web-based service (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of the Terms, you may not use the Service.

3. About Us

We provide a web-based tool that offers users access to market data, trade simulations, and analytics tools for financial research and strategy testing. The platform is operated by Tutari GmbH, a privately held company registered in Switzerland.

4. Subscriptions and Billing

Access to the Service is provided on a subscription basis, with options for monthly or yearly billing depending on the plan selected during checkout.
By subscribing, you: Confirm that you have read and accepted these Terms and Conditions; Authorize Tutari GmbH or its authorized third-party payment provider to charge your credit/debit card or other payment method for the applicable subscription fees on a recurring basis.

Subscription fees will be billed in advance of the subscription period and will automatically renew at the end of each billing cycle (monthly or annually), unless and until you cancel the subscription.

It is your responsibility to ensure that: Your payment method remains valid and up to date; You understand the billing frequency and amount selected
To cancel your subscription, you must do so through your account settings page (e.g., "Profile" or "Billing Settings") in the Service. Requests to cancel via email, support ticket, or chat will not be considered valid or effective unless explicitly confirmed by us in writing.

Cancellations are effective at the end of the current billing period. You will continue to have access to the Service until the subscription term ends. No partial refunds are issued for unused time unless otherwise required by law.
If a payment fails or your billing method is declined, we may: Retry the charge automatically after a short period; Suspend or limit your access to the Service until payment is received.

We reserve the right to change pricing or subscription plans with prior notice. Continued use of the Service after such changes constitutes your acceptance of the updated pricing.

5. Refunds

All fees paid for subscriptions or services are non-refundable, including but not limited to: Subscription renewals, Early cancellations, Partial usage of the service, Same-day cancellations after payment.

By subscribing, you acknowledge and agree that the Service is provided immediately after payment, and you therefore waive any statutory right of withdrawal or refund period that may otherwise apply to digital content or services.
It is your responsibility to cancel your subscription before the next billing date to avoid further charges. No refunds will be issued for failure to cancel on time.

All billing is handled through our payment provider, but refund requests must be submitted exclusively to our support team via strateda.com. Direct requests to Paddle or third parties will not be considered valid refund claims.

6. Account Responsibilities

Eligibility to Use the Service
To create an account and use the Service, you must be at least 18 years old (or the legal age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. By creating an account, you represent and warrant that you meet these requirements.
If you are registering on behalf of a company or organization, you represent that you are authorized to act on its behalf and to bind it to these Terms.

You are responsible for maintaining the confidentiality and security of your account credentials (such as login email and password), and for all activities that occur under your account.You agree to: Use the Service only for lawful purposes and in accordance with these Terms; Immediately notify Tutari GmbH of any unauthorized use, breach of security, or suspicious activity relating to your account; Ensure that you log out or exit your account at the end of each session, especially when accessing the Service on a shared or public device; Take reasonable measures to prevent unauthorized access, including the use of secure passwords and device protection.

Tutari GmbH shall not be held liable for any loss, damage, or data breach arising from your failure to maintain the confidentiality of your login credentials or for failure to properly exit the Service after use.You are solely responsible for the activity under your account and for any consequences resulting from unauthorized use if such access results from your actions or negligence.

7. Use of Market Data

The Service may include access to historical market data and other financial information ("Market Data") provided for informational and analytical purposes only.
You may view and use the Market Data solely for your own personal use. You may not reproduce, redistribute, resell, or sublicense the Market Data in any form. You may not use the Market Data to create a competing product or service. While we strive to ensure the accuracy of the Market Data, it is provided "as is", without warranties of any kind. Tutari GmbH shall not be liable for any trading decisions or financial losses resulting from reliance on the Market Data. The Market Data may be sourced from third parties, and such use is subject to their respective terms and intellectual property rights. Excessive or automated access (e.g., scraping or data mining) without permission may result in suspension of access or legal action.

8. No Financial Advice or Brokerage Services

The Service is intended solely for research, analytical review of historical market data, and the evaluation of trading strategies in a simulated environment. It does not constitute investment advice, trading advice, or any form of financial advisory service.
Tutari GmbH is not a registered broker, dealer, investment advisor, or exchange, and does not facilitate or execute trades on behalf of users.
All data, tools, and simulations provided by the Service do not represent real trading activity or guarantees of future performance. Users are solely responsible for any investment decisions they make. Under no circumstances shall Tutari GmbH be held liable for any investment decisions, financial losses or damage, missed opportunities, or profits based on the use of the Service or any associated data.

Third-Party Broker Integrations

The Service may allow users to connect their own trading accounts from third-party brokers (such as Alpaca Markets) using their personal API credentials. This integration is solely for data retrieval and analysis purposes.

Tutari GmbH does not execute trades, manage positions, or control any trading activities on connected accounts. All trading decisions and account management remain exclusively the user's responsibility. We are not affiliated with, endorsed by, or responsible for the services provided by third-party brokers.

Users must comply with their broker's terms of service and assume all risks associated with their trading accounts and API usage.

9. Hypothetical Performance Disclaimer

The Service may include tools that simulate trading strategies or market scenarios using historical data. These simulations are intended solely for research, testing, analysis, and educational purposes.
Hypothetical or simulated performance results have inherent limitations. Unlike actual trading records, they do not represent real financial risk and may understate or overstate potential results due to assumptions or ideal conditions.
Past simulated performance is not indicative of future results. No representation is being made that any strategy shown will achieve profits or losses similar to those simulated.
Users should not interpret the outputs of any simulated or backtested strategy as financial advice or trading recommendations.

10. AI Assistant Disclaimer

The Service includes an AI-powered chatbot that provides information about platform features and assists with strategy parameter configuration. While the AI is trained on our documentation and examples, it operates using large language model technology that may occasionally produce inaccurate, incomplete, or unexpected responses.

Users acknowledge that:

AI responses are generated automatically and may contain errors
All AI-generated strategy parameters should be reviewed before use
The AI assistant is a tool for convenience, not a substitute for user judgment
Tutari GmbH is not responsible for decisions based on AI-generated content

Users remain solely responsible for verifying AI responses and for all trading strategies created with AI assistance.

11. Intellectual Property

All content, software, design elements, features, and materials made available through the Service — including but not limited to logos, branding, charts, market data presentations, analytics tools, and user interface design in all languages, formats and media throughout the world — are the exclusive property of Tutari GmbH and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, reproduce, republish, transmit, distribute, reverse engineer, or create derivative works based on any portion of the Service without our prior written consent.
This includes any attempt to replicate the design, structure, datasets, logic, or tools provided by the platform, whether manually or through automated means (e.g., scraping or API calls).
All rights not expressly granted to users in these Terms are reserved by Tutari GmbH.

Users may capture snapshots of charts or visual elements generated by the Service for personal use or public sharing (e.g., social media, blogs, educational content, books and other publications), provided that a clear attribution is included in the image, referencing https://strateda.com as the source. Attribution must be reasonably visible and may include, but not be limited to, a link or mention such as: "Chart generated by Strateda — strateda.com". Failure to include proper attribution may result in removal of access or further legal actions. Commercial redistribution or use in paid materials requires prior written permission.

12. Termination

We reserve the right to suspend or terminate access to the Service at any time for breach of these Terms or other reasons we deem appropriate.

13. Limitation of Liability

To the maximum extent permitted by law, Tutari GmbH is not liable for any indirect, incidental, or consequential damages arising from your use of the Service.

14. Export Controls

You agree to comply with all applicable export and re-export laws and regulations, including but not limited to those of Switzerland, the European Union, and the United States.
You may not use or access the Service if you are located in a country or region subject to government sanctions or export restrictions, or if you are on any government list of prohibited or restricted parties.

15. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable for any reason, the remaining provisions shall remain in full force and effect.

16. Changes to the Terms

We may update these Terms occasionally. Continued use of the Service after any changes implies acceptance of the updated Terms. You will be notified of material changes via email or through the Service.

17. Governing Law

These Terms are governed by the laws of Switzerland, without regard to its conflict of law rules. Any disputes will be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

18. Force Majeure

Tutari GmbH shall not be liable for delays or failures in service performance due to circumstances beyond our reasonable control, including natural disasters, cyber attacks, government actions, infrastructure failures, pandemics, or third-party service provider outages.

19. Expert Advisor Download and Usage

19.1 Expert Advisor Provision

Tutari GmbH provides Expert Advisor (EA) files that can be downloaded from the Service and imported into MetaTrader 5 (MT5) platforms. These EAs are software tools designed to execute trading strategies configured within your Strateda account.

19.2 User Responsibilities and Acknowledgments

By downloading and using any EA provided by the Service, you acknowledge and agree that:

You are solely responsible for importing, configuring, and operating the EA within your MetaTrader environment
You assume full responsibility for all trading activities, including but not limited to trade execution, position sizing, risk management, and account monitoring
You are responsible for ensuring your MetaTrader account settings, including demo/live account selection, are appropriate for your intended use
You must secure and protect the API key provided through the Service interface and not share it with unauthorized parties
You understand that the EA will execute trades based on strategies configured in your Strateda account, the API key you configure within the EA, and current market conditions

19.3 Technical Requirements and Limitations

EAs are designed specifically for MetaTrader 5 and may not function with other trading platforms
Proper internet connectivity is required for EAs to communicate with Strateda backend services
You are responsible for ensuring your broker supports automated trading and EA functionality
Performance may vary based on your broker's execution speed, spreads, network latency between your location and trading servers, MetaTrader 5 platform version and configuration, VPS hosting location (if applicable), firewall or network security restrictions, and server infrastructure locations

19.4 Server Location and Data Processing

Tutari GmbH operates backend servers in multiple regions (United States and European Union) to provide optimal performance
You may select your preferred server location based on your geographic location to minimize latency to your MT5 terminal and improve execution speed
All server locations provide identical functionality and features regardless of the region selected
Your trading data and strategy configurations may be processed on servers located in the region you select
By selecting a server location, you consent to your data being processed in that geographic region
Server location selection is intended solely for performance optimization and does not affect the terms of service or applicable law governing this agreemen

19.5 Risk Disclosure and Disclaimers

IMPORTANT RISK WARNING: Automated trading involves substantial risk of loss and is not suitable for all investors.
Automated Execution Risk: EAs execute trades automatically without real-time human oversight, which can result in rapid losses during adverse market conditions
System Risk: Technical failures, internet disconnections, or platform malfunctions may prevent proper EA operation or result in unintended trading activity
Market Risk: Strategies that performed well in backtesting may not perform similarly in live market conditions due to slippage, spread variations, market volatility, and other factors
No Performance Guarantee: Past backtesting results do not guarantee future performance of live trading

19.6 Limitation of Liability for EA Usage

In addition to the limitations set forth in Section 12, Tutari GmbH specifically disclaims liability for:
Any trading losses incurred through EA usage, regardless of cause
Technical malfunctions, system failures, or connectivity issues affecting EA performance
Broker-related issues including but not limited to execution delays, requotes, or platform downtime
Any unauthorized access to or misuse of API keys provided through the Service interface
Differences between backtested strategy performance and live trading results

19.7 API Key Security and Usage

Each user account is provided with a unique API key accessible through the Service interface
You are prohibited from reverse engineering, sharing, or distributing your API key
You are responsible for properly configuring the API key within your EA settings
Unauthorized use of API keys may result in immediate account suspension
You must report any suspected API key compromise immediately to support

19.8 No Investment Advisory Services

The provision of EAs does not constitute investment advice, trading recommendations, or portfolio management services. You acknowledge that:
Tutari GmbH is not acting as your investment advisor or broker
All trading decisions remain solely your responsibility
You should consult with qualified financial professionals before engaging in automated trading

19.9 Modification and Updates

EAs may require updates to maintain compatibility with platform changes or service improvements
You are responsible for downloading and implementing EA updates when available
Continued use of outdated EA versions is at your own risk

19.10 Termination of EA Services

Tutari GmbH reserves the right to discontinue EA functionality or block specific API keys at any time, particularly in cases of:
Suspected fraudulent or unauthorized usage
Violation of these Terms
Technical issues requiring service maintenance
Changes to third-party platform compatibility

19.11 Intellectual Property Rights and Subscription License

The EA, including all source code, compiled files, algorithms, and documentation, is the exclusive intellectual property of Tutari GmbH and is protected by copyright, trade secret, and other intellectual property laws
This agreement grants you a limited, non-exclusive, non-transferable license to use the EA ONLY during your active subscription period
Your right to use the EA automatically expires upon subscription cancellation, non-payment, or termination
You may download and use the EA only while maintaining an active paid subscription plan
You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the EA
You may not create derivative works based on the EA or use it to develop competing products
All rights not expressly granted are reserved by Tutari GmbH

19.12 Subscription-Based Usage Rights

Your EA usage rights are contingent on active subscription status:

EA may only be downloaded and used during active subscription periods
Upon subscription expiration or cancellation, you must immediately cease all use of EA
Reactivating a subscription restores your right to download and use current EA versions
You may not retain or use EA during subscription lapses or after cancellation
Multiple account subscriptions do not grant additional licensing rights - each subscription authorizes one user only

19.13 Post-Subscription Obligations

Upon subscription termination, cancellation, or expiration:

Your license to use EA immediately terminates
You must cease all EA operations and remove EA from all MetaTrader installations
You must delete all EA files, documentation, and related materials in your possession
API keys associated with EA functionality will be automatically deactivated

20. International Operations

Tutari GmbH operates backend infrastructure in multiple geographic regions including the United States and European Union to provide optimal service performance. Users may select their preferred server location for performance optimization purposes. By using the Service, you acknowledge and consent to your data being processed in the geographic region corresponding to your selected server location. This server selection does not modify the governing law of these Terms, which remains the laws of Switzerland."
